Terms & Conditions

These terms define the legal agreement between you and Techax Labs for our services. Please read them carefully before engaging our services.

1. General Terms

  • All site content (text and multimedia) will be the sole responsibility of the client to provide to Techax Labs. Such should be provided prior to commencing the work.
  • The client is solely responsible for taking a proper backup of all content on their site prior to letting Techax Labs undertake the required course of action. Any loss or damage to existing data shall not be a responsibility of Techax Labs.
  • The Contract does not hold Techax Labs responsible for any data entry, web hosting, or custom artwork/graphics unless otherwise specifically mentioned, paid for, and agreed to by both parties.
  • While Techax Labs will do its best to achieve all deliveries within the estimated time, there may at times be a need to extend timelines due to deployment issues, dependencies, 3rd-party support, development bottlenecks, resource unavailability, or communication delays.
  • Techax Labs will provide the Client an opportunity to review work during and after design/development. Techax Labs will wait 7 days for feedback. If no reply is received within this period, the material will be deemed automatically accepted and approved.
  • The Client retains copyright to data, files, and graphic logos provided by them, and grants Techax Labs the rights to publish and use such material during the project.
  • The Client is responsible for granting Techax Labs permission for use of third-party copyrighted material, and agrees to indemnify Techax Labs from all claims resulting from the Client's inability to obtain proper copyright permissions.
  • Techax Labs will not accept responsibility for any alterations caused by the Client or a third party after installation or deployment.
  • Non-payment of cancellation fees and/or overdue amounts will result in legal action upon necessity.

2. Support and Third-Party Services

  • Upon launch, we offer free support for the first month. After one month, we charge according to our support packages best-suited to the client's requirement. Support scope only includes bug fixing and email support โ€” it excludes site architecture changes, rule changes, and add-ons/enhancements.
  • No guarantees or warranties shall be provided by Techax Labs for the accuracy or performance of any 3rd-party product or service.
  • Any upgrade in a 3rd-party product or service used in the project shall not form part of the original scope. Such requests will be addressed per feasibility with a revision of price and timeline.

3. Re-work, Enhancements & Billing

  • Any additional features not envisaged in the original scope of work will be entertained through a Change Management process and additionally billed. Scope creep after wireframe sign-off will be billed as additional work and will increase timelines and cost.
  • Whilst we try our best to cover most changes within the project budget, some changes are classified as enhancements/add-ons and become chargeable. We will advise you before we start work on any such items.
  • Any re-work, change, or tweak request by the client post-approval and/or subsequent to the current project stage may be treated as add-on work and additionally billed.
  • The client must pay the fee charged by Techax Labs without any deductions, discounts, or debt settlement by the agreed due dates.

4. Limitations of Liability

  • Techax Labs will use reasonable skill and care in providing the Service. However, we make no representation and exclude any warranty, express or implied, as to the availability, quality, accuracy, timeliness, completeness, performance, or fitness of the Service.
  • Techax Labs hereby excludes itself, its employees, and/or agents from all liability for loss or damage caused by any inaccuracy, omission, delay, or error, whether resulting from negligence or otherwise.
  • Except in the event of death or personal injury caused by our negligent acts, we shall not be liable for any damages arising in contract, tort, or otherwise in connection with this Agreement.
  • Techax Labs cannot make guarantees of service on behalf of third-party organisations and will not be held liable for the failure of any service provided by third parties.

5. Approvals and Delivery

  • The project will involve various stages. Work for the next stage will only start after receiving sign-off and relevant payments for the previous stage.
  • Techax Labs holds the right to publish and use completed work and/or the deployed final product/website as references for other potential clients.
  • All deliverables will be shared via agreed communication channels (email, project management tools, or shared drives).
  • Final delivery of source code and assets will be made upon receipt of full payment as per contract terms.

6. Cancellation Policy

  • Clients may request project cancellation at any stage before project completion. However, any payments made up to the cancellation date will be non-refundable.
  • If the client decides not to proceed with the project after completion, Techax Labs will not provide any refunds. The full project cost remains payable as per the agreed terms.
  • Cancellation requests must be submitted in writing via email to [email protected].
  • Upon cancellation, Techax Labs will provide all completed work up to the cancellation date.

7. Refund Policy

  • No Refunds After Project Completion: Once the project has been completed or delivered, no refunds will be issued under any circumstances.
  • Change of Mind: Refunds will not be provided if the client changes their mind after project completion.
  • Partial Refunds: For ongoing projects, refunds may be considered on a case-by-case basis, minus work already completed and administrative costs.
  • Dispute Resolution: Any payment disputes must be raised within 7 days of invoice receipt.

8. Intellectual Property

  • Upon full payment, the client receives ownership of the custom-developed code and design assets created specifically for their project.
  • Techax Labs retains ownership of its proprietary frameworks, libraries, and reusable components used in the project.
  • Third-party components (open-source libraries, plugins) remain subject to their respective licenses.
  • Techax Labs reserves the right to use the project deliverables in its portfolio and marketing materials unless otherwise agreed in writing.

9. Confidentiality

  • Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the project.
  • Confidential information includes, but is not limited to, business strategies, technical specifications, customer data, and financial information.
  • This confidentiality obligation survives the termination of the business relationship.
  • Either party may disclose confidential information if required by law, with prior written notice to the other party where possible.

10. Dispute Resolution & Governing Law

  • These Terms shall be governed by and construed in accordance with the laws of India.
  • Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Patna, Bihar, India.
  • Both parties agree to attempt to resolve any disputes through good-faith negotiation before pursuing legal remedies.
  • In case of arbitration, proceedings shall be conducted in English in accordance with the Arbitration and Conciliation Act, 1996.

11. Severability

  • In the event any one or more provisions of this Agreement are held to be invalid, illegal, or unenforceable, the remaining provisions shall be unimpaired and the Agreement shall not be void for this reason alone. Such invalid, illegal, or unenforceable provision shall be replaced by a mutually acceptable valid, legal, and enforceable provision that comes closest to the intention of the parties.
